Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Sunny Budget (the “Service”), including our website, web application, and related features.

By accessing or using the Service, you agree to these Terms. We encourage you to read them carefully so you understand how the Service works and your choices when using it. If you do not agree, do not use the Service.

Sunny Budget is a software tool designed to help users organize, visualize, and understand financial information, including budgets, transactions, attachments, and cash-flow projections.

You are solely responsible for verifying information and for any decisions you make based on your use of the Service.

Sunny Budget offers a free version of the Service to help users organize and understand their finances. Free features are provided “as is” and “as available,” and may change over time.

While we intend to continue offering a free version of the Service, we may modify, suspend, or discontinue free features as the Service evolves. Where reasonably practicable, we will provide advance notice of material changes. Users may export their data at any time.

Sunny Budget may offer paid features in the future. If and when paid features are introduced, applicable terms will be presented at that time.

4.1 Age Requirement

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service.

4.2 United States Only

The Service is intended for use only by individuals physically located in the United States. We focus on U.S. users due to legal, operational, and compliance considerations.

By using the Service, you represent that you are physically located in the United States and lawfully present. We do not actively verify location, and availability outside the United States does not constitute permission to use the Service.

5.1 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5.2 Zero-Knowledge Architecture and Password Loss

Sunny Budget uses a zero-knowledge security design. This means:

• Your password is not stored in recoverable form
• We cannot reset, retrieve, or bypass passwords
• Loss of your password permanently eliminates access to your account and encrypted data

5.3 Account Deletion

If you lose access to your account, you may request deletion by emailing from your registered email address. Upon verification, your encrypted vault will be deleted from production systems in accordance with our data retention and security practices.

Encrypted backups may persist temporarily for disaster recovery and are overwritten on a rolling basis. We cannot restore access or decrypt data under any circumstances.

Our Privacy Policy explains how information is collected and used and is incorporated into these Terms.

Your data is encrypted, and we do not hold the keys to decrypt it. We design the Service with security and privacy as core principles. While we take reasonable administrative, technical, and organizational measures to protect the Service, no system can guarantee absolute security. By using the Service, you acknowledge the inherent risks of using online services, including the possibility of unauthorized access, data loss, or security incidents. These risks exist across all online services and are not unique to Sunny Budget.

Nothing in these Terms limits rights that cannot be waived under applicable law.

You retain ownership of content you submit (“User Content”). You represent that you have the right to provide it and that it does not violate any laws or third-party rights.

You grant Sunny Budget a limited license to store and process User Content solely to operate the Service. We do not sell or monetize your User Content.

The Service may offer optional AI-assisted categorization. If you opt in, only transaction descriptions and amounts are sent to third-party AI providers to suggest categories. We do not send account identifiers, dates, or user profile data as part of those requests.

AI outputs may be inaccurate or incomplete and should be independently reviewed before making decisions based on them. You can disable AI features at any time. AI features are provided as optional convenience tools, not authoritative classifications or advice.

The Service may integrate with third-party providers to support certain features. While these services are governed by their own terms, we select integrations carefully, limit the data shared to what is necessary, and use them solely to operate the Service. We do not sell or monetize your User Content. Additional details are available on ourData Transparency page.

You agree not to misuse the Service, interfere with its operation, violate laws, infringe rights, introduce malicious code, scrape data, share credentials, or attempt to reverse engineer the Service.

From time to time, Sunny Budget may offer beta or experimental features so users can try new ideas and help shape the product. Beta features are optional, may change or behave unpredictably, and may not perform as reliably as fully released features. While we aim to test carefully, beta features may contain errors or limitations, including the risk of data loss. We label beta features clearly so you can make informed choices about whether to use them.

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, Sunny Budget disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and uninterrupted operation.

To the maximum extent permitted by law:

• Sunny Budget shall not be liable for any indirect, incidental, consequential, special, or punitive damages
• Sunny Budget shall not be liable for data loss, financial decisions, service interruptions, or AI inaccuracies
• Total aggregate liability shall not exceed the greater of ten U.S. dollars ($10) or the amount paid by you to Sunny Budget in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability.

These limitations do not apply to liability that cannot be excluded under applicable law.

You expressly assume all risks associated with your use of the Service, including data loss, financial decisions, credential compromise, service interruptions, and automation errors.

You agree to indemnify and hold harmless Sunny Budget from claims arising out of your use of the Service, User Content, or violation of these Terms.

16.1 Informal Resolution

You must attempt to resolve disputes informally by contacting us for sixty (60) days before filing a claim. We believe most issues can be resolved quickly and fairly through direct communication.

16.2 Small Claims Court

Eligible disputes shall be brought exclusively in small claims court in Hennepin County, Minnesota.

16.3 Class Action Waiver

Disputes must be brought on an individual basis only. Class actions are waived.

16.4 Jury Trial Waiver

You waive any right to a jury trial to the extent permitted by law.

16.5 Time Limitation

Claims must be brought within one (1) year of accrual.

These Terms are governed by Minnesota law. Any non-small-claims action shall be brought in state or federal courts located in Hennepin County, Minnesota.

The Service and its content are owned by Sunny Budget or its licensors. No rights are granted except as expressly stated.

We appreciate feedback and may use it to improve the Service, without obligation or compensation.

We may suspend or terminate access where necessary, at any time. Upon termination, your right to use the Service ends immediately. We aim to use this authority reasonably and primarily to protect users, the Service, or legal compliance.

Sections concerning security, data, liability, indemnification, disputes, and governing law survive termination.

We may update these Terms from time to time. If changes are material, we will make reasonable efforts to provide notice. Continued use after changes take effect constitutes acceptance.

If any provision is unenforceable, it shall be modified or severed without affecting the remainder.

Failure to enforce any provision does not constitute waiver.

You may not assign these Terms without our consent. We may assign these Terms in connection with the operation or transfer of the Service, subject to these Terms continuing to apply.

These Terms and the Privacy Policy constitute the entire agreement between you and Sunny Budget.
